　　第二條 租賃期限

　　2. TERM OF CONTRACT

　　第四條 招牌設置

　　甲方同意乙方在符合國家法律、法規、政府規章和規范性文件的前提下，在租賃商鋪的室內外安裝設置帶有其公司標志的招牌等廣告裝置(例如帶照明的透明廣告燈箱、立牌和戶外廣告招牌等)，并協助乙方做好跟物業裝修申請、施工以及廣告設置的交涉工作。

　　第六條 出租方和承租方的變更

　　6.1 產權人與承租人：合同期內,甲方和乙方中任何一方法定代表人(或產權人)變更、企業遷址、合并,不影響本合同繼續履行。變更、合并后的一方即成為本合同當然執行人,并承擔本合同的內容之權利和義務;

　　6.3 甲方欲出售房屋，必須在三個月前書面通知乙方，并且要保證租賃期限的完整。

　　第七條 違約及處理

　　7. DEFAULT AND DISPOSE

　　7.1 任何一方未能履行本合同規定的條款的,均視為違約;

　　7.2若乙方違約，甲方有權提前解除合同，并無需退還已繳納的房屋租金;

　　7.3若甲方違約，乙方有權提前解除合同，且甲方必須雙倍退還乙方已繳納但未完成使用期限的全部租金，并賠償乙方裝修費。裝修費賠償標準：若第一年內違約，賠償全部裝修款(100%)，以實際裝修情況計算;若第二年違約。賠償裝修款的70%，以實際裝修情況計算;若第三年違約，賠償裝修款的50%，以實際裝修情況計算;

　　5、與乙方另簽訂消防安全協議書此合同附件，監督乙方安全使用房屋，針對發現乙方的安全有權要求限期整改。

　　6、在乙方辦理工商、稅務等手續時，甲方應為乙方提供房屋的相關證明文件。

　　7、在乙方沒有違反使用水、電時，甲方應保證商鋪正常用水用電。

　　第八條：乙方權利和義務

　　1、按照房屋的'使用用途，使用租賃房屋開展正常經營活動，不受甲方干涉，但乙方不得擅自改造用途。

　　2、確保消防安全，如果因乙方使用房屋或經乙方裝修房屋出現并造成人身財產損害時，均由乙方承擔全部賠償責任。

　　3、按照交納房屋租金及其他費用。

　　4、不擅自拆改房屋構造，不在租賃房屋內從事違法活動。

　　5、甲乙雙方在經營過程中如因對方原因造成雙方無法正常經營，所帶來的一切損失由責任方承擔。并負責損失的賠償。

　　第九條：違約責任和合同終止的賠償措施

　　1、若租賃房屋因不可抗力的自然災害導致損毀和造成承租人的任何損失或無法使用房屋時，雙方互不承擔責任，合同終止。

　　2、若甲乙雙方在沒有違反本合同的情況下提前解除合同或租給他人，視為單方違約、應賠償對方一切經濟損失。并有壹拾萬元的違約金。

　　第十條：爭議的解決辦法

　　本合同在履行中如發生其他爭議，雙方應友好協商解決，協商不成時，任何一方均可以向人民法院起訴。

　　第十一條：本合同如有未盡事宜

　　按《中華人民共和國合同法》的有關規定，經甲、乙雙方共同協商，作出補充規定，補充規定與本合同具有同等效力。

　　第十二條：本合同至雙方簽字蓋章后生效，本合同_____頁，一式兩份，甲乙雙方各執一份，均有同等法律效力。
